Terms of Service
1. Agreement
By creating an account or using the Jiminy platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms form a legally binding agreement between you or your organisation ("you") and JIMINY Ltd ("Jiminy", "we", "us"). If you do not agree, do not use the Service.
2. The Service
Jiminy provides AI agent audit, attestation, and reporting infrastructure. The Service allows you to submit AI agent decision traces via API, receive structured accountability audits, and access tamper-evident audit reports. Self-serve accounts are open to sign up without invitation, per the self-serve addendum; the design partner tier remains by invitation. The Service is subject to change.
3. Accounts and access
- You must register with accurate information. You are responsible for maintaining the security of your API keys and login credentials.
- Each account is associated with a single organisation. You may not share API keys across unrelated organisations.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or compliance risk.
- We reserve the right to limit, modify, or discontinue accounts or features at any time with reasonable notice.
4. Acceptable use
You agree not to use the Service to:
- Submit trace data that contains unlawfully obtained personal data or data you are not authorised to process.
- Attempt to reverse-engineer the audit criteria or manipulate submissions to achieve misleading verdicts.
- Use the Service to evaluate agents making decisions in life-critical contexts (medical diagnosis, emergency response) without appropriate human oversight in place independently of Jiminy.
- Resell or sublicence access to the Service without our written consent.
- Conduct automated stress-testing or load attacks against our infrastructure.
5. Data and intellectual property
You retain ownership of the trace data you submit. By submitting data, you grant Jiminy a limited licence to process it solely for the purpose of providing audits and reports to your account. We do not use your trace data to train AI models.
Jiminy retains all rights to the audit platform, criteria rubric, report templates, and underlying software. Nothing in these Terms transfers intellectual property rights to you beyond the right to use the Service as described.
6. Audit outputs
Jiminy's audit verdicts (approved, flagged, rejected) are produced by an automated AI system and are provided for informational and accountability-record purposes. They do not constitute legal advice, regulatory clearance, or a guarantee of compliance. You remain responsible for your organisation's compliance obligations. Accountability reports should be reviewed by a qualified person before being relied upon in regulated contexts.
7. Service availability
We aim to maintain high availability but do not guarantee uninterrupted access. The platform may experience downtime for maintenance and updates. We will communicate planned outages where possible.
8. Fees and billing
Self-serve pricing is published at jiminy.uk/pricing. Design partner pricing is communicated separately during onboarding. We reserve the right to change pricing with 30 days' written notice. Invoices are issued monthly. Overdue amounts may result in access suspension. All fees are quoted in GBP and are exclusive of VAT where applicable.
9. Limitation of liability
To the maximum extent permitted by law, Jiminy's total liability to you in connection with the Service in any twelve-month period shall not exceed the fees paid by you in that period. We are not liable for indirect, consequential, or incidental losses, including lost profits, loss of data, or reputational harm arising from use of the Service or reliance on audit outputs.
10. Indemnity
You agree to indemnify and hold Jiminy harmless from any claims, losses, or costs (including legal fees) arising from your use of the Service in violation of these Terms or applicable law, or from trace data you submit that infringes third-party rights.
11. Termination
Either party may terminate the agreement with 30 days' written notice. We may terminate immediately on material breach or if you become insolvent. On termination, your access will be revoked and your data will be retained for 90 days before deletion unless you request earlier deletion or law requires otherwise.
12. Governing law
These Terms are governed by the law of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after the effective date of an update constitutes acceptance. Material changes will be communicated by email.
